Terms and Conditions for Modest Budget

These Terms and Conditions (“Terms”) govern your use of the Modest Budget mobile application (the “App”). Please read them carefully — by using the App, you accept them.

1. Provider Identification

The App is provided by 17951086 Canada Inc. (o/a v2 Labs), a corporation registered in Canada and based in Ontario (“we,” “our,” or “us”). References to “you” or “user” mean the individual using the App.

2. Eligibility

You must be at least 13 years old (or the minimum age in your country, if higher) to use the App. If you are under the age of majority where you live, you may use the App only with the involvement and consent of a parent or guardian. By using the App, you represent that you meet these requirements.

3. License

Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the App on any compatible device you own or control, solely for personal, non-commercial purposes. This license does not transfer any ownership rights to you and is subject to the terms of the app store from which you obtained the App — including, as applicable, the Apple Media Services Terms and Conditions or the Google Play Terms of Service — in addition to these Terms.

4. Acceptance and Changes

By installing or using the App, you agree to these Terms. If you do not agree, do not use the App.

We may update these Terms from time to time. When we do, we will change the “Last Updated” date above and post the new version at this URL. Continued use of the App after a material change constitutes acceptance of the updated Terms.

5. Subscriptions, Purchases, and Auto-Renewal

• Billing. Subscriptions (Monthly and Yearly) and Lifetime purchases are processed through the app store from which you obtained the App — either the Apple App Store or Google Play. By purchasing, you also agree to that store’s terms (the Apple Media Services Terms or the Google Play Terms of Service, as applicable).
• Auto-renewal. Subscriptions automatically renew at the end of each period at the then-current price unless cancelled at least 24 hours before the renewal date. The renewal charge is applied to the payment method on file with the store.
• Cancellation. Cancellation takes effect at the end of the current paid period; no partial refunds are issued for cancellations mid-period.
  • iOS / iPadOS: open Settings → [your name] → Subscriptions to manage or cancel.
  • Android: open the Google Play app → profile icon → Payments & subscriptions → Subscriptions to manage or cancel.
• RevenueCat. We use RevenueCat to facilitate these purchases. See our Privacy Policy for details about what data RevenueCat processes.
• Refunds. All billing inquiries and refund requests must be directed to the store you purchased through. We do not have the ability to issue refunds directly.
  • Apple App Store: visit reportaproblem.apple.com.
  • Google Play: follow the Google Play refund process (refunds are subject to Google’s refund policy and timing).

6. No Financial Advice

The App is a tool for personal organizational purposes only. It does not provide professional financial, investment, accounting, or tax advice, and nothing in the App should be relied on for making financial decisions. We are not responsible for any financial decisions you make or any losses you incur as a result of using the App.

7. Data Loss Warning

The App stores data locally on your device. We do not maintain cloud backups.

• If you delete the App, your data will be permanently erased.
• If your device is lost, stolen, or damaged, your data cannot be recovered by us.
• It is your responsibility to use the App’s Export feature regularly to back up your data securely.

8. Prohibited Uses

You agree not to:

• reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App;
• use the App for any illegal, fraudulent, or unauthorized purpose;
• circumvent any subscription, paywall, or technical-protection mechanism in the App;
• remove, alter, or obscure any copyright, trademark, or other proprietary notice;
• use the App in any way that interferes with another user’s use of the App or with our systems.

9. Intellectual Property

The App, including all source code, graphics, icons, illustrations, copy, and design, is owned by 17951086 Canada Inc. (o/a v2 Labs) and is protected by Canadian and international copyright, trademark, and other intellectual-property laws. These Terms do not transfer any ownership rights to you. “Modest Budget” and “v2 Labs” are trademarks of 17951086 Canada Inc. (o/a v2 Labs).

10. Warranty Disclaimer

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE APP IS AT YOUR SOLE RISK.

11. Limitation of Liability

To the maximum extent permitted by law, in no event shall 17951086 Canada Inc. (o/a v2 Labs), its directors, officers, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, resulting from (i) your use of or inability to use the App; (ii) any unauthorized access to or alteration of your data; (iii) the conduct of any third party in connection with the App; or (iv) any other matter relating to the App.

Our total aggregate liability for all claims arising out of or relating to these Terms or the App shall not exceed the greater of (a) the total amount you have paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) CAD $50. You acknowledge that this limitation is an essential element of the bargain between you and us, and that we would not provide the App without it.

Nothing in this section limits liability that cannot be excluded under applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless 17951086 Canada Inc. (o/a v2 Labs) and its directors, officers, employees, and agents from and against any third-party claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of (i) your misuse of the App; (ii) your violation of these Terms; or (iii) your violation of any law or the rights of a third party.

13. Termination

We may suspend or terminate your access to the App at any time, with or without cause, with reasonable notice where practicable. You may stop using the App at any time by uninstalling it.

Sections concerning intellectual property, warranty disclaimer, limitation of liability, indemnification, governing law, and any other provision that by its nature is intended to survive, will survive termination of these Terms.

14. Platform-Specific Terms

The subsections below apply only to the platform from which you obtained the App. They prevail over any conflicting provision elsewhere in these Terms.

14.1 If You Obtained the App from the Apple App Store

• Parties. These Terms are an agreement between you and 17951086 Canada Inc. (o/a v2 Labs) only, and not with Apple Inc. (“Apple”). Apple is not responsible for the App or its content.
• License scope. The license granted in Section 3 is limited to use of the App on any Apple-branded device that you own or control, as permitted by the Apple Media Services Terms and Conditions.
• Maintenance and support. Apple has no obligation to provide any maintenance or support services with respect to the App.
• Warranty. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the App (if any) to you. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty will be our sole responsibility.
• Product claims. We, not Apple, are responsible for addressing any claims relating to the App or your possession or use of it, including (i) product-liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer-protection, privacy, or similar legislation.
• Intellectual-property claims. In the event of any third-party claim that the App or your use of it infringes that party’s intellectual-property rights, we, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
• Legal compliance. You represent that you are not located in a country that is subject to a U.S. Government embargo, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• Third-party beneficiary. You and we acknowledge that Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

14.2 If You Obtained the App from Google Play

• Parties. These Terms are an agreement between you and 17951086 Canada Inc. (o/a v2 Labs) only, and not with Google LLC (“Google”). Google is not a party to these Terms and is not responsible for the App or its content.
• License scope. The license granted in Section 3 is limited to use of the App on any Android-compatible device that you own or control, as permitted by the Google Play Terms of Service.
• Google’s role. Your use of the App is also governed by the Google Play Terms of Service. Google has no obligation to furnish any maintenance or support for the App, and Google is not responsible for product warranty claims, intellectual-property claims by third parties, or your compliance with consumer-protection, privacy, or similar legislation. Responsibility for these matters rests with us, as described elsewhere in these Terms.
• Refunds. Refund requests for App purchases made through Google Play are handled in accordance with Google Play’s refund policy, as referenced in Section 5.
• Compliance. You agree to use the App in accordance with the Google Play Terms of Service and any applicable Google policies, including export-control restrictions and any restrictions on the use of Google Play in your jurisdiction.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict-of-law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada for the resolution of any dispute arising out of or relating to these Terms or the App, except where prohibited by applicable consumer-protection law in your jurisdiction.

16. Severability and Entire Agreement

If any provision of these Terms is found by a court of competent jurisdiction to be unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App and supersede any prior agreements on the subject.
